Partner Terms of Use

1. Introduction and Scope
These Terms apply to every organization or business ("Partner", "You") that registers an account on VeroSet for Business to purchase or access Data from the VeroSet platform. By creating an account, Partner confirms having read, understood, and agreed to be bound by these Terms.
2. Partner Account
Partner agrees to provide accurate company information at registration and to keep it updated. Partner is responsible for all activity under its account, including Data Package purchases and API access.
3. Data License — Non-Exclusive
When purchasing a Data Package or accessing Data via API, Partner is granted a NON-EXCLUSIVE, non-transferable license to use the Data within the scope of the purchased Data Package or API access. VeroSet reserves the full right to license, sell, or re-license the SAME Data Package or similar Data to other Partners, simultaneously or at any time, without prior notice or compensation to the Partner who purchased earlier. Purchasing a Data Package does not create any exclusivity, priority right, or commitment to limit the number of Partners licensed.
4. Permitted and Prohibited Use
Partner may use the Data for AI/machine learning model training, data analytics, market research, and other lawful commercial purposes. Partner may NOT: (a) attempt to re-identify individuals from anonymized Data; (b) resell or distribute raw Data as a standalone data product that directly competes with VeroSet; (c) use the Data in a way that harms, discriminates against, or infringes the rights of the individuals who contributed the data.
5. Payment
Data Package prices are publicly listed on the Marketplace. Payments are processed via Stripe, VNPay, Momo, or PayPal. Completed transactions where the Data has been downloaded or accessed via API are considered non-refundable, except where the error is due to a system fault on VeroSet's part.
6. No Warranty on Data Quality
The quality score of Data is calculated automatically by AI-Powered Validation based on heuristic criteria (duplicate detection, location checks, basic fraud detection) and is not an absolute guarantee of accuracy, completeness, or fitness for Partner's specific purpose. Partner is solely responsible for assessing the suitability of the Data before using it commercially.
7. API Keys and Security
Partner is responsible for keeping its issued API key secure and for all activity performed through it. VeroSet may revoke an API key upon detecting signs of abuse, rate-limit violations, or a breach of these Terms.
8. Legal Compliance
Partner is solely responsible for ensuring that its use of purchased Data complies with data protection and privacy laws in the jurisdiction where Partner operates.
9. Termination and Access Revocation
VeroSet may suspend or terminate a Partner account and revoke API keys upon discovering a violation of these Terms. Licenses for Data validly purchased before termination remain in effect under the section above, except where termination results from a serious violation directly related to misuse of that Data.
10. Limitation of Liability
To the extent permitted by law, VeroSet's total liability to Partner shall not exceed the amount Partner paid for the Data Package or API service directly related to the claim.
11. Governing Law
These Terms are governed by the laws of Vietnam.
